1. Nature of Service and Regulatory Status

Krentium (“the Platform”, “we”, “our”) is operated from the Federal Republic of Germany. The Platform provides automated technical analysis of publicly traded securities based on quantified Wyckoff methodology. The Platform is an educational and informational tool that detects statistical patterns in market data.

Krentium does not provide and is not licensed to provide:

• Individualised investment advice (Anlageberatung) or personal recommendations within the meaning of Article 4(1)(4) of Directive 2014/65/EU (MiFID II)
• Portfolio management services
• Order execution, brokerage, or dealing services
• Tax, legal, or accounting advice

Krentium is not a registered investment firm, broker-dealer, financial planner, or fiduciary under German law (WpHG, KWG) or any other jurisdiction. We are not supervised by the German Federal Financial Supervisory Authority (BaFin) as an investment services provider.

The content displayed on the Platform—including signals, scores, confidence levels, and narratives—constitutes general market commentary based on automated statistical analysis. It is not tailored to any individual’s financial situation, investment objectives, or risk tolerance, and therefore does not constitute a personal recommendation.

2. No Individualised Investment Advice (Anlageberatung)

Nothing on the Platform shall be construed as a personalised recommendation, individualised solicitation, or per-user offer to buy, sell, or hold any financial instrument tailored to a specific user’s circumstances. Investment-strategy recommendations within the meaning of § 86 Abs. 1 WpHG are produced and disseminated to all users on the same terms; see /disclosures. Terms used on the Platform such as “Accumulation,” “Institutional Buying Detected,” “High Conviction,” or similar expressions describe statistical patterns identified by our algorithms. They are not trading instructions, price targets, or guarantees of future performance.

The Platform uses language such as “probability,” “detected,” and “pattern” deliberately to reflect that all analysis is probabilistic in nature. No output of the Platform should be interpreted as certainty about future price movements.

3. Backtested Performance Disclaimer

This section is critically important. Please read it carefully.

The Platform displays performance statistics derived from historical backtesting. These statistics (including win rates, confidence percentages, and holding period returns) are based on how our algorithms would have performed on historical data. Backtested results have significant inherent limitations:

• They are derived with the benefit of hindsight and do not reflect actual trading
• They do not account for transaction costs, slippage, taxes, or market impact
• Past algorithmic performance is not indicative of future results
• The parameters used may have been optimized on the same dataset, which can overstate expected performance
• Market conditions, liquidity, and regulatory environments change over time
• Backtests cannot fully account for extraordinary events (“black swan” events)

No representation is made that any account will or is likely to achieve profits or losses similar to those shown. Actual results will differ from backtested results.

4. Market Risks

Investing in securities involves significant risks, including but not limited to:

• Market Risk: Prices of securities can decline substantially due to economic conditions, geopolitical events, company-specific developments, or shifts in market sentiment
• Liquidity Risk: You may not be able to buy or sell securities at your desired price or time
• Volatility Risk: Prices can move rapidly and unpredictably, especially during periods of market stress
• Loss of Capital: You could lose some or all of your invested capital
• Currency Risk: If you invest in securities denominated in a currency other than your home currency, exchange rate fluctuations may affect your returns
• Concentration Risk: Relying on a limited number of signals or a narrow set of securities increases risk

5. Limitations of Automated Analysis

Our automated analysis has inherent limitations that users must understand:

• Algorithmic Limitations: The Platform’s detection algorithms rely on predefined parameters that may not capture all market dynamics
• Data Dependencies: Analysis depends on third-party market data (provided by Twelve Data). While we strive for accuracy, data may contain errors, omissions, or delays
• No Guarantee of Accuracy: Signals may be incorrect, delayed, or based on incomplete information. Signal confidence levels express statistical probability, not certainty
• Changing Market Conditions: Patterns that were historically profitable may cease to work in the future
• System Availability: The Platform may experience downtime, delays, or interruptions that could affect the timeliness of analysis
• Survivorship Bias: Our stock universe may not include delisted or bankrupt companies, which could overstate historical performance

6. Your Responsibilities

By using the Platform, you acknowledge and agree that:

• You are solely responsible for your own investment decisions and their consequences
• You will conduct your own independent research and due diligence before making any investment
• You will not rely solely on the Platform’s output when making financial decisions
• You will only invest capital that you can afford to lose entirely
• You understand the risks described in this disclaimer and accept them
• You will consult with a qualified, independent financial advisor before making significant investment decisions
• You are responsible for ensuring your investment activities comply with all applicable laws and regulations in your jurisdiction
• You will evaluate whether the use of this Platform is appropriate given your individual financial situation, investment experience, and risk tolerance

7. Regulatory and Jurisdictional Notice

Securities laws, regulations, and investor protection rules vary significantly by country and jurisdiction. Certain investment activities, products, or strategies may be restricted, regulated, or prohibited in your location.

The Platform is designed and operated in compliance with the laws of the Federal Republic of Germany and the European Union. Users outside the EU are responsible for determining whether their use of the Platform complies with their local laws.

The Platform does not target or solicit users in jurisdictions where such use would violate local law. If you are unsure about the legality of using this Platform in your jurisdiction, do not use it until you have obtained appropriate legal advice.

8. Third-Party Data and Services

The Platform integrates data from third-party providers, including but not limited to market data providers. We do not guarantee the accuracy, completeness, or timeliness of third-party data. We are not responsible for any errors or omissions in data provided by third parties, nor for any losses arising from reliance on such data.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Krentium, its operators, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from or related to:

• Investment decisions made based on the Platform’s signals, analysis, or content
• Trading losses, missed opportunities, or opportunity costs
• Errors, inaccuracies, or delays in data or analysis
• System downtime, service interruptions, or technical failures
• Your interpretation or use of any information provided
• Unauthorized access to or alteration of your data

This limitation of liability applies whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether Krentium has been advised of the possibility of such damages.

Nothing in this disclaimer shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence (grobe Fahrlässigkeit), or intentional misconduct (Vorsatz) under German law (§ 276 BGB), or for death or personal injury caused by negligence.

10. Intellectual Property

All content on the Platform, including but not limited to algorithms, methodologies, signal logic, scoring systems, and analytical frameworks, is the proprietary intellectual property of Krentium. No part of the Platform’s proprietary analysis or methodology may be copied, reproduced, distributed, reverse-engineered, or used for commercial purposes without prior written consent.

11. Data Protection (GDPR)

Krentium processes personal data in accordance with Regulation (EU) 2016/679 (General Data Protection Regulation / GDPR) and the German Federal Data Protection Act (BDSG). 12. Governing Law and Dispute Resolution

This Risk Disclaimer and any disputes arising from or related to the use of the Platform shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of laws provisions.

For consumers resident in the European Union, mandatory consumer protection provisions of their country of residence shall apply to the extent that they provide a higher level of protection. Nothing in this disclaimer affects your statutory rights as a consumer under EU law.

In accordance with Regulation (EU) 2024/3228, the European Commission’s Online Dispute Resolution (ODR) platform was discontinued as of 20 July 2025. For consumer dispute resolution, please refer to the European Commission’s Consumer Redress page at https://consumer-redress.ec.europa.eu and the list of dispute resolution bodies at https://consumer-redress.ec.europa.eu/dispute-resolution-bodies. We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) pursuant to the German Consumer Dispute Resolution Act (VSBG), unless required by law.

15. Acknowledgment

By accessing and using the Krentium Platform, you acknowledge that you have read, understood, and agree to be bound by this Risk Disclaimer in its entirety. If you do not agree with any part of this disclaimer, you must discontinue use of the Platform immediately.
